Important: A tealsi subscription may include a base level of service or usage allowance. Consumption beyond included amounts, or use of separately metered features, may generate additional Usage Fees that are deducted from the Customer’s Wallet or charged using an authorized payment method.
USAGE-BASED SERVICES ARE VARIABLE. A CUSTOMER WHO SENDS 100,000 MESSAGES OR MAKES 10,000 AI CALLS WILL INCUR DIFFERENT USAGE COSTS THAN A CUSTOMER WHO USES LITTLE OR NO METERED COMMUNICATIONS OR AI SERVICES.
1. Scope and Incorporation
These Wallet & Usage-Based Services Terms (“Wallet Terms”) govern the purchase, funding, use, deduction and administration of prepaid usage credits and metered services made available through tealsi.
These Wallet Terms form part of and are incorporated into the Terms of Service. They should be read together with the Communications & Consent Policy, AI & Voice Policy, Acceptable Use Policy and other applicable policies.
2. Subscription Fees and Included Usage
Customer must pay the recurring subscription fee associated with the selected tealsi plan. A plan may include specified features, limits, allowances or usage amounts. Included usage, if any, is determined by the applicable plan, order form, pricing page or in-product description.
Unless expressly stated otherwise, included usage is not an unlimited right to consume telecommunications, AI, voice, messaging, phone, storage or other metered resources.
3. Usage-Based Services
Certain tealsi functionality may be billed based on actual consumption (“Usage-Based Services”). Usage-Based Services may include, without limitation:
- SMS and MMS messaging;
- phone numbers and telecommunications services;
- voice calling and call minutes;
- AI voice agents and AI-assisted calls;
- AI model processing, tokens or other AI consumption;
- voice synthesis, transcription or related speech services;
- WhatsApp or other messaging usage where applicable;
- carrier, registration, verification or pass-through charges; and
- other features identified by tealsi as usage-based or metered.
4. Wallet and Usage Credits
tealsi may provide a Wallet through which Customer prepays amounts that are represented within the Platform as “Usage Credits.” Usage Credits may be deducted automatically as Customer consumes Usage-Based Services.
Customer authorizes tealsi to deduct applicable Usage Fees from the Wallet based on usage recorded by tealsi and its underlying service providers.
5. Usage Credits Are Not a Bank Account or Cash
The Wallet and Usage Credits are provided solely for purchasing eligible tealsi Usage-Based Services. They are not a checking account, savings account, bank account, stored-value account offered as a financial product, deposit account, investment account or interest-bearing product.
Usage Credits are not legal tender and are not redeemable or transferable for cash except where required by applicable law or expressly approved by tealsi.
6. tealsi Usage Rates
Amounts charged to Customer for Usage-Based Services are tealsi’s retail usage rates (“tealsi Usage Rates”). tealsi Usage Rates may be displayed in dollars, credits, per-message amounts, per-minute amounts, token-based amounts, unit prices or another applicable billing metric.
tealsi Usage Rates are determined by Constellation X, LLC and may differ from the rates charged by any underlying provider.
7. Provider Costs, Margin and Retail Pricing
tealsi may use third-party infrastructure providers to deliver Usage-Based Services. Depending on the feature used, these providers may include Twilio, Vapi, ElevenLabs, OpenAI and other service providers identified in the Subprocessors & Connected Services Notice.
Customer understands that tealsi may charge a retail rate that includes underlying provider costs, telecommunications carrier charges, AI or model costs, infrastructure expenses, platform fees, administrative expenses, support costs, operational risk, applicable taxes or surcharges, and a commercial margin retained by Constellation X, LLC.
8. Usage Measurement and Metering
Usage is measured using tealsi systems, third-party provider records, carrier records, API usage data, call-duration data, message records, model usage, transaction records and other metering information reasonably used to determine consumption.
Customer acknowledges that usage calculations may involve rounding, minimum units, provider-specific billing increments, retries, carrier events, network events or other technical billing mechanics.
9. Wallet Funding and Top-Ups
Customer may add funds to the Wallet using an accepted payment method. Funds successfully collected may be converted into Usage Credits available for eligible services.
tealsi may establish minimum top-up amounts, maximum balances, funding thresholds, payment-method requirements or other operational limits.
10. Automatic Replenishment
Where offered, Customer may enable automatic replenishment. By enabling automatic replenishment, Customer authorizes tealsi and its payment processor to charge the designated payment method when the Wallet reaches a selected or system-defined threshold.
Customer is responsible for keeping its payment method current and for reviewing auto-replenishment settings. Customer may disable automatic replenishment where the Platform permits, subject to charges already incurred or in process.
11. Additional Usage and Overage Charges
If Customer consumes more than any included plan allowance, additional consumption may be billed at the applicable tealsi Usage Rate and deducted from the Wallet.
Customer is responsible for all legitimate usage generated through Customer’s account, including usage caused by Customer’s Authorized Users, automations, campaigns, agents, Customer Clients, integrations and other persons or systems Customer authorizes.
12. Insufficient Balance
If the Wallet balance is insufficient, tealsi may pause, limit, queue, reject or suspend affected Usage-Based Services. This may include stopping outbound messages, calls, AI processing or other metered functionality.
tealsi is not responsible for missed calls, undelivered messages, interrupted campaigns, paused AI agents, missed opportunities or other consequences caused by Customer’s failure to maintain sufficient Wallet balance.
13. Third-Party Provider Charges and Changes
Underlying providers, carriers and networks may change their prices, taxes, surcharges, registration fees, model costs, API pricing or other charges at any time. tealsi does not control such changes.
Where an upstream cost changes, tealsi may modify the corresponding tealsi Usage Rate, add a surcharge, change the billing unit or otherwise adjust the retail price for the affected service.
14. Changes to Usage Rates
tealsi may change Usage Rates from time to time. Where reasonably practicable, tealsi will provide notice of material pricing changes before they become effective.
However, tealsi may implement a change more quickly where necessary to respond to a carrier, provider, tax, regulatory, fraud, security, technical or emergency pricing change outside tealsi’s reasonable control.
15. Estimates, Calculators and Displayed Usage
Usage calculators, projected charges, dashboard estimates, cost previews and similar tools are provided for convenience and may not reflect final billed usage. Final billing may differ because of provider records, message segments, carrier surcharges, call duration, model usage, retries, rounding or other billing variables.
Customer should not rely on an estimate as a guaranteed maximum charge unless tealsi expressly agrees in writing to a fixed price.
16. Taxes, Carrier Fees and Other Charges
Customer is responsible for applicable sales, use, excise, telecommunications, carrier, governmental, regulatory or other taxes and fees associated with Customer’s purchase or use of Usage-Based Services, except taxes imposed on Constellation X, LLC’s net income.
Where tealsi is required to collect or remit a tax, fee or surcharge, tealsi may charge the applicable amount to Customer.
17. Payment Authorization
Customer authorizes tealsi and its payment processors to charge Customer’s designated payment method for subscription fees, Wallet top-ups, authorized automatic replenishments, Usage Fees, taxes, surcharges, negative balances and other amounts properly due under Customer’s agreement with tealsi.
18. Failed Payments, Negative Balances and Suspension
If a payment fails, is reversed, is declined or otherwise cannot be collected, tealsi may retry the payment, restrict Wallet funding, suspend Usage-Based Services, suspend the account or require another payment method.
If technical timing or delayed provider reporting causes Customer to incur usage beyond the available Wallet balance, Customer remains responsible for the resulting negative balance or unpaid Usage Fees.
19. Refunds and Unused Credits
Except where required by applicable law or expressly stated otherwise by tealsi, subscription fees, consumed Usage Credits and Usage Fees are non-refundable.
Unused Usage Credits are generally not redeemable for cash and may be non-refundable upon cancellation, except where required by applicable law or where tealsi expressly approves a refund in writing.
Refunds, if approved, may be reduced by outstanding balances, provider charges, chargebacks, taxes, fees or other amounts Customer owes to tealsi.
20. Cancellation, Downgrades and Outstanding Usage
Customer may cancel, upgrade or downgrade an eligible tealsi subscription through the Platform or other available account-management process. Cancellation or downgrade does not eliminate Usage Fees already incurred.
Customer remains responsible for all Usage-Based Services consumed before the applicable cancellation or downgrade becomes effective, including charges that are reported by providers after the underlying usage occurred.
21. Billing Disputes
Customer must notify tealsi of a good-faith billing dispute within thirty (30) days after the disputed charge is made available to Customer, unless a longer period is required by law.
Customer must provide sufficient information for tealsi to investigate the disputed amount. Undisputed amounts remain payable while a billing dispute is being reviewed.
22. Chargebacks and Payment Disputes
Customer should contact tealsi before initiating a chargeback where Customer believes a charge is incorrect. Improper, fraudulent or abusive chargebacks may result in suspension, collection activity or other remedies permitted by law.
Customer remains responsible for valid fees and usage even if Customer initiates a chargeback through a bank or payment provider.
23. Agencies and Customer Clients
If Customer is an agency, consultant or organization using tealsi for Customer Clients, Customer remains financially responsible to tealsi for all usage generated through Customer’s account, subaccounts, Authorized Users and Customer Clients.
Customer may separately charge or rebill Customer Clients under Customer’s own agreements. tealsi is not responsible for Customer’s pricing, markup, invoicing, collections, refunds, taxes, disputes or commercial relationship with Customer Clients.
24. Provider Failure and Interrupted Services
Usage-Based Services may depend on third-party providers, carriers, APIs and networks. tealsi does not guarantee that any message will be delivered, any call will connect, any AI request will complete or any provider will remain continuously available.
A failed or incomplete service may still generate an upstream provider charge in certain circumstances. Where tealsi is charged for a valid provider event or billable attempt, tealsi may pass the corresponding Usage Fee to Customer where permitted by the applicable pricing model.
25. No Guarantee of Cost or Consumption
tealsi does not guarantee that a particular workflow, campaign, AI agent, communication volume or configuration will stay within a specific cost level. Customer controls the amount and frequency of usage generated through Customer’s account.
Customer is responsible for monitoring usage, configuring limits and alerts where available, maintaining sufficient Wallet balance and adjusting Customer activity to remain within Customer’s preferred budget.
26. Usage Records and Audit
tealsi may maintain records of usage, Wallet movements, provider events, messages, call durations, AI consumption, top-ups, deductions and other billing-related activity.
Such records may be used for billing, reconciliation, fraud prevention, support, audit, provider disputes, legal compliance and enforcement of these Wallet Terms.
27. Changes to these Wallet Terms
tealsi may update these Wallet Terms from time to time to reflect changes in pricing models, providers, taxes, regulations, payment systems or Platform functionality.
Where a change is material, tealsi will use commercially reasonable methods to provide notice as described in the Terms of Service. Continued use after updated Wallet Terms become effective constitutes acceptance to the extent permitted by law.
