Core policy: Payments made to tealsi are final and non-refundable. Canceling a subscription stops future renewal charges according to the applicable billing cycle, but it does not create a refund for amounts already paid or credits already purchased.
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE ONCE PROCESSED, INCLUDING SUBSCRIPTION FEES, USAGE FEES, WALLET TOP-UPS, USAGE CREDITS, ADD-ONS AND OTHER AMOUNTS PAID TO TEALSI, EXCEPT WHERE A REFUND IS EXPRESSLY REQUIRED BY APPLICABLE LAW.
1. Scope
This Refund & Cancellation Policy (“Policy”) governs refunds, cancellations, subscription changes, Wallet credits and related billing matters for tealsi, a software product provided by Constellation X, LLC.
This Policy forms part of and is incorporated into the Terms of Service and should be read together with the Wallet & Usage-Based Services Terms.
2. All Payments Are Final
Except where applicable law expressly requires otherwise, all payments made to tealsi are final and non-refundable once successfully processed.
This includes, without limitation:
- monthly or annual subscription fees;
- setup or activation fees, if any;
- add-ons and feature upgrades;
- usage-based charges;
- Wallet top-ups;
- Usage Credits;
- AI, voice, messaging, telecommunications and phone usage;
- carrier or provider-related charges;
- taxes, fees and surcharges collected as part of a valid charge; and
- other amounts validly charged under Customer’s tealsi account.
tealsi does not provide refunds because a Customer changes its mind, stops using the Platform, forgets to cancel, does not use all features, does not consume included usage, decides the Platform no longer fits its business, or is dissatisfied with business results.
3. No Prorated Refunds or Credits
tealsi does not provide prorated refunds, partial-period refunds, retroactive credits or cash equivalents for unused time remaining in a billing period after cancellation or downgrade.
Any discretionary service credit tealsi may issue in a specific situation does not create an obligation to issue similar credits in the future and does not modify this Policy.
4. Subscription Cancellation
Customers may cancel eligible subscriptions through available account-management controls or another cancellation method made available by tealsi.
Cancellation stops future renewal charges after the cancellation becomes effective. Cancellation does not reverse, void or refund amounts already charged.
5. When Cancellation Takes Effect
Unless otherwise stated in an applicable order form or plan, cancellation generally becomes effective at the end of the Customer’s then-current paid billing period.
Customer may continue to have access to eligible subscription features through the remainder of the already-paid period, subject to the Terms of Service and any suspension or termination rights.
6. Upgrades
Customers may upgrade eligible plans or services through available account controls. An upgrade may take effect immediately and may result in an immediate additional charge or adjustment according to the pricing presented at the time of upgrade.
Payments associated with an upgrade are final and non-refundable once processed.
7. Downgrades
Customers may request or select an eligible downgrade. Unless otherwise stated, a downgrade may take effect at the beginning of the next billing cycle.
A downgrade does not entitle Customer to a refund for the current billing period or any previously paid amount.
8. Wallet and Usage Credits
Funds added to the tealsi Wallet are converted into or represented as Usage Credits for eligible usage-based Platform services.
Usage Credits:
- are not cash;
- do not constitute a bank deposit;
- do not earn interest;
- are not transferable except where tealsi expressly permits;
- are not redeemable for cash; and
- are non-refundable, including after cancellation, except where applicable law expressly requires otherwise.
9. Usage-Based Charges
Usage-Based Services are charged based on actual or metered consumption and are non-refundable once incurred.
Examples include messaging, calls, phone numbers, AI processing, voice generation, transcription, carrier-related services and other metered features identified in the Wallet & Usage-Based Services Terms.
A Customer who generates significant usage will incur higher charges than a Customer who generates little or no usage. Customer is responsible for monitoring and controlling usage generated through Customer’s account.
10. Stripe as Payment Processor
tealsi may use Stripe as a third-party payment processor to process subscription charges, Wallet top-ups and other payments.
Stripe provides payment-processing infrastructure. Stripe does not determine tealsi’s pricing, refund policy, cancellation rules or entitlement to a refund.
Payment information and transactions processed by Stripe may also be subject to Stripe’s own terms and privacy practices.
11. Failed or Declined Payments
If a payment is declined, fails, is reversed or cannot be collected, tealsi may retry the payment, request another payment method, restrict Wallet usage, suspend affected services or suspend the account.
Customer remains responsible for valid fees and usage charges that remain unpaid.
12. Chargebacks and Payment Disputes
Customer should contact tealsi before initiating a chargeback or payment dispute where Customer believes a charge is incorrect.
Initiating a chargeback does not cancel valid amounts owed. tealsi may suspend or restrict an account during a payment dispute and may provide relevant account, billing, usage and transaction records to Stripe, financial institutions or payment networks as reasonably necessary to respond to a chargeback.
Fraudulent, abusive or bad-faith chargebacks may result in account suspension, termination or other remedies permitted by law.
13. Duplicate or Incorrect Charges
If Customer reasonably believes a charge was duplicated or processed in an amount different from the amount authorized, Customer should contact tealsi promptly at support@tealsi.com.
tealsi may investigate billing errors and correct a verified duplicate or erroneous charge. Correcting a genuine processing error is not the same as providing a discretionary refund for a valid purchase.
14. Promotions, Discounts and Credits
Promotional discounts, coupons, trial credits, bonus Usage Credits, service credits and other incentives have no cash value unless tealsi expressly states otherwise.
Promotional or complimentary credits are non-refundable and may expire or be subject to additional promotional terms.
15. Suspension or Termination
Suspension or termination for violation of the Terms of Service, Acceptable Use Policy, Communications Policy, AI Policy, non-payment, fraud, spam, abuse or other prohibited conduct does not create a right to a refund.
Customer remains responsible for outstanding subscription, usage and other valid charges incurred before suspension or termination.
16. Data After Cancellation
After cancellation, Customer Data will generally be handled in accordance with the Privacy Policy, Security & Administrative Access Statement and applicable Terms.
Customer Data may generally be deleted or anonymized from active production systems within thirty (30) days after termination or cancellation, subject to permitted retention in backups, logs, billing records, fraud records, legal holds and records required or permitted by law.
17. Exceptions Required by Law
Nothing in this Policy limits any non-waivable refund, cancellation or consumer right that applies to Customer under applicable law.
If applicable law requires a refund or other remedy despite this Policy, tealsi will provide the remedy to the extent legally required.
18. Changes to this Policy
tealsi may update this Policy from time to time to reflect changes in billing practices, payment providers, Platform functionality or legal requirements.
Material changes may be communicated through the Platform, website, email or another commercially reasonable method.

Cancel future renewals. Previous payments remain final.
Customers can manage eligible subscriptions, but amounts already paid, usage already consumed and Wallet Usage Credits are non-refundable except where applicable law expressly requires otherwise.
