Important: tealsi provides AI and voice technology tools. Customers decide whether, when, why and how those tools are used. Customers are responsible for their prompts, data, recipients, consent, configurations, business decisions, legal compliance and review of AI-generated results.
AI FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AI OUTPUTS MAY CONTAIN ERRORS OR MAY NOT PERFORM AS EXPECTED. CUSTOMER MUST INDEPENDENTLY REVIEW AND VALIDATE AI OUTPUTS AND IS SOLELY RESPONSIBLE FOR CUSTOMER’S USE OF THOSE OUTPUTS.
1. Scope and Incorporation
This AI & Voice Policy (“AI Policy”) governs use of artificial intelligence, machine learning, generative AI, AI agents, AI-assisted chat, automated calling, synthetic speech, voice generation, transcription, summarization and related functionality made available through tealsi (collectively, “AI Features”).
This AI Policy forms part of and is incorporated into the Terms of Service. It should be read together with the Acceptable Use Policy, Communications & Consent Policy, Privacy Policy, Data Processing Addendum and other applicable tealsi policies.
2. tealsi’s Role as Technology Provider
tealsi is a software platform and technology product provided by Constellation X, LLC. tealsi may provide tools that allow Customers to create, configure, connect and operate AI agents, voice agents, prompts, workflows, automations and AI-assisted communications.
Unless expressly agreed in a separate written agreement, tealsi does not operate Customer campaigns, select Customer recipients, determine Customer business strategy, provide legal or regulatory advice, or independently decide what an AI agent should say or do on behalf of Customer.
3. Third-Party AI and Voice Infrastructure
AI Features may rely on third-party models, APIs, telecommunications services, voice providers, cloud infrastructure and other technology providers. Depending on the feature used, these providers may include OpenAI, Vapi, ElevenLabs, Twilio and other providers identified in the Subprocessors & Connected Services Notice.
Third-party providers may modify models, safety systems, APIs, pricing, availability, voices, latency, rate limits, functionality, policies or technical requirements at any time. tealsi does not control those providers and does not guarantee that any particular provider, model, voice, feature or integration will remain available.
4. Customer Control and Responsibility
Customer determines the purpose, configuration, instructions, prompts, data sources, knowledge bases, recipients, actions, integrations, escalation rules, frequency, timing and deployment of Customer’s AI Features.
Customer is solely responsible for all AI Features configured, initiated or used through Customer’s account, including activities performed by Customer’s Authorized Users, employees, contractors, agents, agencies, Customer Clients and End Users.
5. No Guarantee of AI Accuracy or Performance
Artificial intelligence is probabilistic and may produce inaccurate, incomplete, outdated, offensive, biased, misleading, inconsistent or otherwise unsuitable output. AI Features may misunderstand instructions, fail to follow a workflow, misclassify information, hallucinate facts or take an unexpected path during a conversation.
Customer must determine whether AI-generated content or actions are appropriate before relying on, publishing, transmitting, executing or using them.
6. Human Review and Oversight
Customer must implement appropriate human review and oversight based on the nature and risk of the use case. Customer should not configure an AI Feature so that an AI-generated response or action becomes the sole basis for a material decision where human review is reasonably necessary or legally required.
Customer is responsible for testing AI workflows before production use, monitoring performance, reviewing material outputs, maintaining escalation procedures and correcting configurations when necessary.
7. High-Impact and Professional Decisions
Unless separately reviewed and contractually approved by tealsi, Customer must not rely on AI Features as a substitute for qualified professional judgment in legal, medical, financial, insurance, employment, housing, lending, education, public safety or other high-impact contexts.
AI Features do not constitute legal, medical, financial, tax, accounting, investment, insurance or other professional advice.
8. Prohibited AI Uses
Customer may not use AI Features to engage in or facilitate unlawful, fraudulent, abusive, deceptive, discriminatory, dangerous or unauthorized activity. Prohibited uses include, without limitation:
- harassing, threatening, stalking or repeatedly contacting persons after they have opted out or revoked consent;
- fraud, phishing, credential theft, social engineering or deceptive financial activity;
- impersonating another person, organization, government agency or business without authorization;
- creating or using a cloned or synthetic voice without the rights and permissions required to do so;
- circumventing authentication, security, rate limits, safety controls, provider restrictions or tealsi enforcement mechanisms;
- generating or distributing illegal content;
- making unlawful eligibility, employment, credit, housing, insurance or similarly consequential decisions solely through AI;
- using AI to violate privacy, intellectual-property, publicity, biometric, communications or consumer-protection rights; or
- any use prohibited by the Acceptable Use Policy.
9. Synthetic Voice and Voice Generation
tealsi may make synthetic speech, generated voices or other voice functionality available through third-party infrastructure. Customer is responsible for determining whether the intended use of a generated or synthetic voice is lawful and appropriate.
The availability of a voice inside tealsi does not by itself represent that Customer may use that voice for every purpose, jurisdiction, communication type or audience.
10. Voice Cloning, Rights and Consent
Customer represents and warrants that Customer has all rights, licenses, permissions, releases and consents necessary to upload, create, reproduce, synthesize, clone, transform or use any voice, recording, likeness or other identity-related material submitted to or used with AI Features.
11. Impersonation, Deception and Identity
Customer may not use AI Features to falsely represent that a synthetic or automated system is a specific real person or organization when Customer lacks authority to make that representation.
Customer may not use AI to create deceptive caller identity, false endorsements, false government or financial-institution representations, fraudulent customer-support interactions or other misleading impersonations.
12. Outbound AI Calling and Consent
Customer is solely responsible for determining whether consent, registration, disclosure, opt-out, calling-hour, Do-Not-Call, caller-identification or other requirements apply before initiating an AI-assisted or automated call.
Customer must comply with the Communications & Consent Policy and all applicable federal, state, local and international laws and rules governing automated, artificial, prerecorded or telemarketing communications.
Customer must not use AI calling functionality to repeatedly contact a recipient who has opted out, revoked consent, requested no further contact or otherwise indicated that communications are unwanted.
13. Disclosures to Call and Chat Recipients
Where required by applicable law, regulation, industry rule, contractual obligation or third-party policy, Customer must provide appropriate disclosure that a recipient is interacting with an automated system, AI agent, synthetic voice or other non-human communication technology.
Customer is responsible for the timing, content and sufficiency of any such disclosure.
14. Recording, Transcription and Monitoring
AI Features may support call recording, transcription, summarization or conversation analysis. Customer is solely responsible for determining whether notice, consent or other permission is required before recording or transcribing a communication.
Customer must not enable recording or transcription in violation of applicable wiretap, privacy, communications, employment or other laws.
15. Prompts, Inputs and Instructions
Customer is responsible for all prompts, system instructions, uploaded documents, knowledge bases, URLs, files, data, API inputs, tools, workflows and other content provided to AI Features (“AI Inputs”).
Customer represents that it has the rights and lawful authority necessary to provide AI Inputs and instruct tealsi and applicable providers to process them for the requested purpose.
16. Sensitive, Confidential and Regulated Data
Customer should not provide highly sensitive, confidential, privileged, regulated or legally restricted information to AI Features unless Customer has confirmed that such processing is appropriate for the applicable feature, provider, account configuration and legal requirements.
Customer is responsible for determining whether AI Features are suitable for personal information, protected health information, financial information, biometric information, credentials, government identifiers, trade secrets or other sensitive data.
No use of AI Features makes Customer compliant with HIPAA, GLBA, FERPA, PCI DSS or any other regulatory framework unless tealsi expressly agrees in writing to the applicable compliance obligations.
17. AI Actions, Automations and Tool Execution
Some AI Features may be capable of triggering tools, updating CRM records, sending messages, scheduling appointments, initiating calls, creating tasks, modifying workflows or performing other automated actions.
Customer is responsible for determining what permissions an AI agent receives and for designing appropriate confirmation steps, limits, access controls and human approvals. tealsi is not responsible for an unintended action that results from Customer’s configuration, instructions, integrations, credentials or AI behavior, except to the extent liability cannot lawfully be excluded.
18. Model, Provider and API Changes
AI models and upstream providers change over time. A provider may modify model behavior, accuracy, context limits, latency, content filters, pricing, names, APIs or supported features without tealsi’s control.
tealsi may add, replace, migrate, suspend or discontinue a model or provider for technical, commercial, operational, security, compliance or availability reasons. Customer’s purchase is not contingent upon continued availability of any specific upstream model, provider or future feature.
19. Availability, Failures and Interruptions
AI Features may be unavailable, interrupted, delayed or degraded because of network failures, telecommunications failures, third-party outages, rate limits, API changes, maintenance, infrastructure issues, model errors, provider restrictions, security events or other circumstances.
tealsi does not guarantee uninterrupted AI operation, successful completion of every call, successful delivery of every message, continuous voice availability or error-free execution of every automation.
20. Customer Content and Intellectual Property
As between Customer and tealsi, Customer retains its rights in Customer-provided content, subject to the rights granted to tealsi under the Terms of Service and applicable policies to process that content and provide the Platform.
Customer is responsible for evaluating whether an AI-generated output can lawfully be used, published, commercialized, copyrighted, trademarked or otherwise exploited. Similar or identical outputs may be generated for other users.
21. Agencies, Customer Clients and End Users
If Customer is an agency, consultant or other organization using tealsi for or on behalf of Customer Clients, Customer remains responsible to tealsi for those Customer Clients and their End Users.
Customer must ensure that Customer Clients are subject to terms and policies sufficient to require lawful use of AI Features, consent to applicable processing, compliance with communications laws and observance of restrictions contained in this AI Policy.
tealsi is not a party to the agreement between Customer and Customer’s client merely because Customer uses the Platform for that client.
22. Compliance Features Are Tools, Not Legal Advice
tealsi may provide consent fields, disclosure templates, opt-out tools, logs, AI guardrails, suppression controls, example prompts, suggested workflows, documentation or other features intended to help Customers operate the Platform.
Those tools are operational aids only. They are not legal advice and do not guarantee that Customer’s specific AI deployment is compliant with every law, regulation, contract or third-party policy.
23. Monitoring, Logs and No Duty to Pre-Screen
tealsi may maintain technical, security, usage and audit logs and may use automated systems or other signals to detect abuse, fraud, security threats, excessive complaints, prohibited conduct or violations of this AI Policy.
tealsi is not required to pre-screen, monitor or approve every prompt, conversation, call, output, workflow, voice, knowledge base or automated action before Customer uses it.
Failure by tealsi to detect a violation does not make tealsi responsible for Customer’s activity or waive tealsi’s right to act later.
24. Suspension and Protective Action
tealsi may immediately limit, pause, suspend, disable or terminate AI Features or Customer access, with or without prior notice, where tealsi reasonably believes activity:
- violates this AI Policy, the Terms, the Acceptable Use Policy or Communications Policy;
- may violate applicable law or third-party rules;
- creates spam, harassment, fraud, impersonation or safety risk;
- threatens tealsi, other Customers, providers, carriers or infrastructure;
- causes excessive complaints or provider enforcement; or
- requires immediate protective action for security, legal or operational reasons.
Where reasonably possible, technically feasible, safe and legally permitted, tealsi may provide limited read-only or export access to Customer Data following a suspension.
25. Claims, Responsibility and Indemnification
Customer is responsible for claims, losses, penalties, complaints, investigations and liabilities arising from Customer’s use of AI Features, including Customer’s prompts, recipients, communications, voice rights, disclosures, consent, content, products, services, instructions and Customer Clients.
Customer’s indemnification obligations under the Terms of Service apply to claims arising from AI or voice use, including claims involving unauthorized voice use, impersonation, privacy, intellectual property, defamation, misinformation, harassment, communications consent, consumer protection or unlawful automated calling.
26. Privacy, Data Processing and Subprocessors
Processing of personal information in connection with AI Features is governed by the Privacy Policy and, where applicable, the Data Processing Addendum.
tealsi may use third-party subprocessors and infrastructure providers to deliver AI Features. The providers used may vary based on the feature, model, geography, availability and Customer configuration. Current information is maintained in the Subprocessors & Connected Services Notice.
27. Changes to this Policy
tealsi may update this AI Policy from time to time to reflect changes in law, AI capabilities, provider requirements, safety practices, Platform functionality or business operations.
Where a change is material, tealsi will use commercially reasonable methods to provide notice as described in the Terms of Service. Continued use after an updated policy becomes effective constitutes acceptance to the extent permitted by law.
