This Acceptable Use Policy (“AUP”) forms part of the tealsi Terms of Service and applies to every Customer, Authorized User, Customer Client, End User and other person using the Platform through a Customer account. Customer is responsible for ensuring compliance with this AUP by all persons and entities using the Platform through Customer.
IMPORTANT: TEALSI PROVIDES TECHNOLOGY. CUSTOMER CONTROLS HOW THAT TECHNOLOGY IS USED AND IS RESPONSIBLE FOR THE LEGALITY, CONTENT, RECIPIENTS, CONSENTS, FREQUENCY, TARGETING, PURPOSE AND CONFIGURATION OF ACTIVITIES CONDUCTED THROUGH CUSTOMER'S ACCOUNT.
1. Scope and Incorporation
This AUP applies to the tealsi software platform and all related features, including CRM, messaging, email, phone numbers, voice calls, AI agents, automations, websites, forms, funnels, payments integrations, social integrations, APIs, connected services, usage-based services and any other functionality made available by Constellation X, LLC through tealsi (the “Platform”).
This AUP is incorporated into the Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.
2. General Standard and Customer Responsibility
Customer may use the Platform only for lawful, legitimate and authorized business purposes. Customer is solely responsible for its use of the Platform and for all activity occurring through its account, including activity performed by employees, contractors, Authorized Users, agencies, Customer Clients and End Users.
Customer must not use, or permit anyone to use, the Platform in a manner that:
- violates applicable law, regulation, court order, industry rule, carrier requirement, contractual obligation or third-party policy;
- creates material risk to tealsi, Constellation X, LLC, another Customer, a telecommunications carrier, an infrastructure provider or any third party;
- interferes with the security, integrity, availability, reputation or normal operation of the Platform; or
- is fraudulent, deceptive, abusive, harmful, unauthorized or reasonably likely to generate regulatory, carrier, provider or consumer complaints.
The examples in this AUP are not exhaustive. Conduct may be restricted when tealsi reasonably determines that the conduct presents a material legal, security, operational, reputational or provider-compliance risk even if the conduct is not specifically listed below.
3. Illegal, Fraudulent or Abusive Activity
You may not use the Platform to commit, facilitate, promote or conceal illegal, fraudulent or abusive conduct. Prohibited conduct includes, without limitation:
- fraud, scams, theft, identity theft, money laundering or deceptive schemes;
- knowingly false or materially misleading representations intended to obtain money, credentials, property or sensitive information;
- circumventing sanctions, legal restrictions, licensing requirements or governmental orders;
- facilitating unlawful sales, transactions or services;
- using the Platform to conceal the source or destination of unlawful activity; or
- attempting, assisting or instructing others to engage in prohibited conduct.
4. Spam, Unsolicited Communications and Consent
Customer may not use the Platform to send unlawful spam, bulk unsolicited messages, unlawful telemarketing communications or communications for which Customer lacks required consent, permission or other lawful authority.
Customer is responsible for determining and documenting whether consent is required and whether sufficient consent has been obtained for SMS, MMS, email, WhatsApp, voice calls, AI calls, prerecorded or artificial voice communications and other outreach.
Customer must honor opt-outs, unsubscribe requests, revocations of consent and applicable do-not-call requirements. Customer may not intentionally evade opt-outs by rotating numbers, accounts, domains, sender identities or other technical identifiers.
Uploading purchased or scraped contact lists without a lawful basis; repeatedly contacting a consumer after an opt-out; sending deceptive “reply STOP” messages that continue after STOP; using multiple numbers to bypass carrier filtering; or initiating marketing communications where required consent has not been obtained.
Additional requirements are set forth in the Communications & Consent Policy.
5. Harassment, Threats and Repeated Unwanted Contact
The Platform may not be used to harass, threaten, intimidate, stalk, coerce or repeatedly contact a person in a manner that is unlawful, abusive or clearly unwanted.
Customer may not configure automations or AI agents to continue contacting a person after consent has been withdrawn or after the person has clearly requested that communications stop, except where a communication is legally required and independently authorized.
tealsi may restrict or suspend calling, messaging, AI or automation functionality where complaint patterns, opt-out patterns, provider alerts or other evidence reasonably indicates harassment or repeated unwanted contact.
6. AI, Voice Agents and Automated Communications
Customer is responsible for all prompts, instructions, knowledge sources, scripts, objectives, routing rules, recipient lists and automation logic provided to AI or voice functionality.
Customer may not configure AI or automated agents to engage in unlawful, deceptive, coercive or abusive behavior. Without limitation, Customer may not use AI agents to:
- make communications prohibited by law or this AUP;
- misrepresent that a person is human where applicable law or the applicable tealsi policy requires disclosure of AI use;
- make knowingly false claims about products, services, identity, authority or affiliation;
- threaten, extort, shame, intimidate or harass recipients;
- continue prohibited outreach after an opt-out or revocation of consent;
- make unauthorized professional, medical, legal or financial determinations; or
- act autonomously in a manner that Customer has not reasonably reviewed, tested or supervised for the intended use.
Customer must comply with the AI & Voice Policy.
7. Impersonation, Voice Rights and Deceptive Identity
Customer may not use the Platform to impersonate another person or entity without authorization, falsely imply endorsement or affiliation, or misrepresent the origin of a communication.
Customer may use voice cloning, synthetic voices, uploaded recordings, names, likenesses or other identity-related materials only where Customer has all necessary rights, permissions and consents.
Prohibited uses include unauthorized celebrity or public-figure impersonation, fraudulent government or financial institution impersonation, caller-ID spoofing intended to deceive, and creation of a voice or persona designed to mislead recipients about who is communicating with them.
8. Phishing, Malware and Security Abuse
You may not use tealsi to create, distribute, host, transmit or facilitate phishing, credential theft, malicious code, ransomware, spyware, botnets, destructive software, unauthorized surveillance tools or other malicious security activity.
You may not use websites, forms, messages, links, automations or AI agents hosted or delivered through the Platform to trick a person into providing passwords, authentication codes, financial credentials or other sensitive information through deception.
9. Unauthorized Access and Authentication Attacks
You may not attempt to gain unauthorized access to tealsi, another Customer's tenant, connected systems, provider accounts, databases, APIs, infrastructure or credentials.
Prohibited activity includes brute-force attacks, credential stuffing, password spraying, automated login attacks, exploitation of vulnerabilities, session hijacking, unauthorized privilege escalation and attempts to defeat authentication, rate limits or security controls.
tealsi may automatically rate-limit, temporarily lock, permanently restrict or otherwise block activity associated with suspected unauthorized access attempts or security threats.
10. Circumvention, Usage Manipulation and Platform Abuse
You may not circumvent or attempt to circumvent technical, commercial, billing, usage, security or provider restrictions imposed by tealsi or an underlying provider.
Prohibited conduct includes creating multiple accounts to evade enforcement, manipulating usage measurements, avoiding wallet charges, bypassing message or calling limits, reverse engineering protected functionality except where law expressly permits it, interfering with metering, or intentionally routing traffic to avoid fees or compliance controls.
You may not place unreasonable or abusive loads on the Platform or use automated processes in a manner that materially degrades service for others.
11. Prohibited Content and Transactions
You may not use the Platform to create, host, distribute, promote or transact in content, products or services that are illegal in the applicable jurisdiction.
Without limiting the foregoing, prohibited use includes content involving child sexual exploitation or abuse material, non-consensual intimate imagery, credible threats of violence, trafficking, unlawful controlled substances, unlawful weapons transactions, stolen credentials, stolen financial information, counterfeit identity documents or other materials whose possession, distribution or sale is unlawful.
tealsi may remove or restrict access to content where required by law, legal process, provider requirements or reasonably necessary to protect the Platform or others.
12. Privacy and Personal Data Misuse
Customer may process Personal Data through tealsi only where Customer has a lawful basis, proper authority and any required notice or consent.
Customer may not use the Platform to unlawfully collect, sell, disclose, enrich, combine, infer, profile or exploit Personal Data. Customer may not upload data obtained through hacking, credential theft, unlawful surveillance or another unlawful source.
Customer must comply with applicable privacy and data protection laws and the Privacy Policy and Data Processing Addendum.
13. Intellectual Property and Rights of Others
You may not use the Platform to infringe or misappropriate copyrights, trademarks, trade secrets, publicity rights, privacy rights or other rights of third parties.
Customer represents that it has necessary rights to content, images, recordings, datasets, trademarks, scripts, prompts, voice samples and other materials submitted to or used through the Platform.
14. Payments, Financial Abuse and Deceptive Commerce
Customer may not use tealsi payment integrations, checkout functionality, websites, forms or automations to facilitate fraudulent transactions, stolen payment credentials, deceptive subscription practices, undisclosed recurring charges, unlawful payment collection or prohibited products and services.
Customer remains responsible for its products and services, transaction disclosures, taxes, refunds, chargebacks, customer support, fulfillment and compliance with the terms of Stripe, PayPal and any other connected payment provider.
15. High-Risk and Regulated Uses
Unless expressly authorized by tealsi in writing and supported by appropriate legal, technical and contractual safeguards, Customer may not rely on the Platform as the sole basis for decisions that create significant legal or similarly significant effects in highly regulated or high-risk contexts.
Examples may include medical diagnosis or treatment decisions, legal determinations, lending or credit eligibility, employment eligibility, insurance eligibility or pricing, emergency dispatch, law-enforcement decisions or other decisions where inaccurate automated output could create substantial harm.
AI output is not professional advice and must be reviewed by appropriately qualified persons where the use case requires professional judgment.
16. Scraping, Data Collection and Lead Sources
Customer is responsible for the legality and provenance of contact lists, lead data and other information imported into tealsi.
You may not use tealsi to exploit unlawfully scraped, stolen or improperly obtained data, or to violate website terms, privacy rights, access controls or applicable law.
The mere technical ability to import or process information does not mean that tealsi has reviewed, approved or determined that the information may lawfully be used for a particular campaign.
17. Carrier, Provider and Third-Party Rules
Customer must comply with the applicable rules, policies, technical requirements and acceptable-use requirements of telecommunications carriers, messaging providers, AI providers, payment processors, social networks and other Third-Party Services used with tealsi.
This may include requirements imposed by Twilio, Vapi, ElevenLabs, OpenAI, Meta, WhatsApp, Google, TikTok, Stripe, PayPal and other providers.
If a provider, carrier or platform requests restriction or suspension of activity, tealsi may act promptly to protect upstream accounts, infrastructure, deliverability, reputation and other Customers.
18. Agencies, Customer Clients and End Users
If Customer is an agency, consultant, service provider or other business using tealsi for or on behalf of Customer Clients, Customer remains responsible to tealsi for all use of the Platform through Customer's account.
Customer must impose appropriate terms, permissions and restrictions on Customer Clients and End Users and must ensure they comply with the Terms, this AUP, the Communications & Consent Policy, AI & Voice Policy and applicable law.
A Customer may not avoid responsibility by claiming that prohibited activity was performed by its client, employee, contractor, Authorized User or End User.
19. Monitoring, Investigations and No Duty to Pre-Screen
tealsi may use automated controls, usage signals, complaint information, provider notifications, security logs and other reasonable methods to identify suspected abuse or threats. tealsi may investigate suspected violations when reasonably necessary.
However, tealsi is not obligated to pre-screen, monitor or review all Customer content, communications, campaigns, AI prompts, calls, contacts or activities. Failure to detect or act upon a violation immediately does not constitute approval of the activity and does not waive tealsi's right to enforce this AUP later.
Customer remains responsible for its activity regardless of whether tealsi has reviewed, monitored or detected that activity.
20. Suspension, Restriction and Termination
To the maximum extent permitted by applicable law and the Terms of Service, tealsi may immediately suspend, restrict, throttle, disable, block or terminate access to some or all Platform functionality when tealsi reasonably believes that:
- this AUP, the Terms or another tealsi policy has been violated;
- activity may be illegal, fraudulent, harmful, abusive or deceptive;
- continued activity creates a security, provider, carrier, regulatory, financial or reputational risk;
- an upstream provider or carrier requires or reasonably requests action;
- the activity may harm another Customer, consumer or third party; or
- immediate action is reasonably necessary to protect the Platform, evidence, infrastructure or others.
tealsi is not required to provide advance notice before taking emergency or protective action. Where appropriate, tealsi may request information, remediation, proof of consent or other evidence before restoring functionality.
21. Data Access and Export After Suspension
Where reasonably safe, technically feasible and legally permitted, tealsi may provide a suspended Customer with limited, read-only or export access to Customer Data for a reasonable period.
Such access is not guaranteed where providing access could enable continued abuse, create a security risk, interfere with an investigation, violate a provider restriction, conflict with legal process or otherwise create material risk.
Data retention and deletion remain governed by the Terms, Privacy Policy and DPA.
22. Cooperation With Providers and Authorities
tealsi may preserve relevant information, cooperate with telecommunications carriers, infrastructure providers, payment processors, regulators and law-enforcement authorities, and respond to valid legal process where required or permitted by law.
tealsi may also provide reasonably necessary information to an upstream provider when required to investigate abuse, fraud, security incidents, carrier complaints or violations affecting services used to provide the Platform.
23. Reporting Abuse
Suspected abuse, fraud, phishing, spam, harassment, unauthorized use or other violations involving tealsi may be reported to support@tealsi.com.
Reports should include sufficient information for tealsi to identify the relevant account, communication, domain, phone number, message, call or activity. tealsi may request additional information where necessary to evaluate a report.
24. Changes to this Policy
tealsi may update this AUP to reflect changes in the Platform, law, provider requirements, security practices, carrier rules or risk conditions. Material changes will be communicated in accordance with the Terms of Service where notice is required.
Continued use of the Platform after an updated AUP becomes effective constitutes acceptance to the extent permitted by applicable law and the Terms.
